These E-Commerce Service Terms of Use (“E-Commerce Terms“) apply to the use of E-commerce services provided by NING to connect third party payment processor (“Third Party Processor”) accounts (“Third Party Processor Accounts”) of Network Creators to the NING Network and enable Network Creators to charge Users for access to their Networks, access to Content on their Networks, or other purposes as permitted by NING, a (the “E-Commerce Services”). Your use of the E-Commerce Services is governed by the NING Terms of Service (including, without limitation, all restrictions on User conduct, disclaimers, limitations of liability and governing law contained therein) as well as any other terms, conditions and limitations set forth on the NING Website, including https://www.ning.com/monetization/ ), and the terms and conditions of any Third Party Processor s (currently Stripe and PayPal), who provides the Third Party Processor Account the Network Creator connects to the NING Network through the E-Commerce Services. Any capitalized terms in the E-Commerce Terms not defined herein have the meaning set forth in the NING Terms of Service.
1. Platform Only
The E-Commerce Services are provided by NING as a platform service only. NING is not a party to any financial transaction processed through the E-Commerce Services (each a “Transaction”) and has no knowledge or responsibility for the nature, accuracy, completion, or legality of any Transaction.
2. Network Creator Use of the E-Commerce Services
Network Creators are solely responsible for all Transactions that occur on their Networks, including responsibility for any losses they incur due to erroneous or fraudulent Transactions which may be imposed by the Third Party Processor. Network Creators acknowledge and agree that NING may suspend, block, or terminate access to the E-Commerce Services for violations of the NING Terms of Service or for any other reason at NING’s discretion, with or without notice.
3. Member and other User Use of E-Commerce Services
Members and other Users entering into Transactions with Network Creators do so at their own risk and acknowledge and agree that NING has no involvement in or responsibility for such Transactions.
4. Fees
Currently, every Network Creator on the NING 3.0 platform can activate the E-commerce Services module at no charge. However, NING charges a 5% fee to Network Creators for every Transaction completed on the Network Creator’s Network (“E-Commerce Fees”). The current E-Commerce Fees applicable to Network Creator will be posted in Network Creator’s NING account. NING reserves the right to change its pricing policy with prior notice.
Network Creators are responsible for all E-Commerce Fees resulting from Transactions occurring through their Network.
In addition to the E-Commerce Fees, you are also responsible for any penalties or fees imposed by the Third Party Processor, including those resulting from your use of the E-Commerce Services in a manner not permitted by these E-Commerce Terms (“Third Party Processor Fees”), the NING Terms of Service or the Third Party Processor’s terms.
All E-Commerce and Third Party Processor fees will be deducted from the amount paid for the Transaction prior to funds being credited to or deposited into Network Creator’s Third Party Processor Account.
5. E-Commerce Services Support
NING will provide Network Creators with support to resolve general issues relating to their use of the E-Commerce Services. This support includes resources and documentation that we make available to you through the NING Platform. Network Creators are solely responsible for providing support to Members or Users who engage in Transactions with them in their Networks (“Purchasers”), including Transaction receipts, product or service delivery, support, returns, refunds, and any other issues related to Content on their Networks. NING is not responsible for providing Transaction support to Users unless it agrees to do so in a separate agreement with a Network Creator. In some cases, and in NING’s sole discretion, NING may, but is not obligated in any way to, offer support to Users for Transactions.
6. Taxes and Other Expenses
Network Creators are responsible for paying all taxes, fees and other charges imposed by any governmental authority (“Taxes”), including any value added tax, goods and services tax, provincial sales tax and/or harmonized sales tax applicable to Transactions that occur on their Network.
7. Refunds
NING is not responsible for providing refunds to Purchasers (“Refunds”). Network Creators may issue Refunds to Purchasers at their discretion through the functionality of the E-Commerce Services. E-Commerce Fees for Transactions that are later subject to Refunds will not be refunded.
